01 Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and The Massimo Group LLC ("we," "us," or "our"), the operator of MAC (Massimo AI Coach), governing your access to and use of the MAC mobile application, web platform, and all associated AI-powered coaching features (collectively, the "Service").
By creating an account or using the Service, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If using the Service on behalf of an organization, you represent that you have authority to bind that organization.
02 Description of Service
MAC is an AI-powered commercial real estate (CRE) coaching and performance platform. The Service includes:
- AI-generated coaching insights, performance feedback, and business development recommendations
- CRE-specific prospecting, pipeline management, and accountability tools
- Educational content, frameworks, scripts, and templates developed by The Massimo Group
- Integration with GoHighLevel (GHL) and other third-party CRM and automation platforms
- Mobile application available on the Apple App Store
The Service is intended exclusively for professional commercial real estate brokers, agents, teams, and firms.
03 User Accounts and Registration
To access MAC, you must create and maintain an active account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the security and confidentiality of your login credentials
- Notify us immediately at [email protected] of any unauthorized account access
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that violate these Terms or engage in conduct harmful to other users or to The Massimo Group.
04 Subscriptions, Payments and Billing
MAC is offered as a subscription-based SaaS product. By subscribing, you authorize The Massimo Group to charge your payment method on a recurring basis at the rate selected at enrollment.
- Billing Cycle: Monthly or annual, as selected at checkout
- Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date
- Price Changes: We will provide at least 30 days advance notice of any price changes
- Refunds: All payments are non-refundable unless otherwise stated in writing. No partial-month refunds are issued upon cancellation
- In-App Purchases: Purchases made through the Apple App Store are subject to Apple's payment and refund policies in addition to these Terms
Message Credits and Add-On Purchases
MAC operates on a message-based usage system. The following terms apply to message limits and credit purchases:
- Subscription Message Limits: Each subscription plan includes a set number of messages per billing cycle. Unused subscription messages do not roll over to the following month and expire at the end of each billing period.
- Additional Message Credits: Users may purchase additional message credits at any time through the MAC platform or Apple App Store. These purchased credits are separate from your subscription allotment.
- Rollover of Purchased Credits: Additional message credits purchased outside of the base subscription do roll over month to month and remain available until used, so long as your account remains active.
- Credit Expiration: Purchased message credits will expire upon account cancellation or termination. No refunds will be issued for unused purchased credits at the time of cancellation.
- Order of Use: Subscription message allotment is consumed first each billing cycle before purchased message credits are drawn upon.
05 AI-Generated Content Disclaimer
MAC uses artificial intelligence to generate coaching insights, scripts, prospecting recommendations, and performance analysis. You acknowledge that:
- AI-generated content is for informational and coaching purposes only and does not constitute legal, financial, tax, or investment advice
- AI outputs may contain inaccuracies that require professional verification
- The Massimo Group does not guarantee the accuracy or completeness of any AI-generated content
- You remain solely responsible for all business and/or personal decisions made on the basis of AI-generated recommendations
- Results vary based on individual effort, market conditions, and factors outside our control
06 Acceptable Use Policy
You agree to use MAC only for lawful purposes. You expressly agree not to:
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Resell, sublicense, or commercially exploit the Service without written authorization
- Use the Service to harass, defame, or harm any individual or entity
- Upload or transmit any malicious code, viruses, or harmful data
- Violate any applicable laws, including those governing commercial real estate or data privacy
- Circumvent or interfere with security features or access controls of the Service
- Use automated bots or scrapers against the platform without prior written consent
07 Intellectual Property
All content, methodologies, frameworks, branding, and software comprising the Service — including the Massimo Method, coaching frameworks, AI models, and the MAC application — are the exclusive intellectual property of The Massimo Group LLC and its licensors.
Your subscription grants a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own professional CRE activities. No rights beyond this limited license are transferred to you.
Content you create within the Service remains your property. By using the Service, you grant The Massimo Group a limited license to process your content solely to deliver the Service.
08 Privacy and Data Use
Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference. By using MAC, you consent to data collection and processing as described in our Privacy Policy.
09 Third-Party Services
MAC integrates with third-party platforms including GoHighLevel, Stripe, and others. Your use of these integrations is subject to those providers' own terms and privacy policies. The Massimo Group is not responsible for the availability, accuracy, or conduct of any third-party service.
10 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
11 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MASSIMO GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
12 Indemnification
You agree to defend, indemnify, and hold harmless The Massimo Group LLC, its officers, directors, employees, and licensors from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.
13 Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately without notice if we believe you have violated these Terms. Upon termination, your license to use the Service ceases immediately. Sections regarding intellectual property, disclaimers, limitation of liability, and governing law survive termination.
14 Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of North Carolina. Disputes shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Mecklenburg County, North Carolina under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
15 Apple App Store Additional Terms
If you download MAC via the Apple App Store, the following additional terms apply:
- These Terms are between you and The Massimo Group only — not Apple Inc.
- Apple has no obligation to provide maintenance or support for the App
- Apple is not responsible for any product liability or intellectual property infringement claims related to the App
- Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce them against you
- You agree to comply with all applicable App Store usage rules set forth in Apple's Terms of Service
16 Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.
